General Terms & Conditions

These Terms & Conditions govern your use of and access to all products, services, software, websites, tools, and digital experiences offered by SpooksLab. By using or accessing any SpooksLab product, you agree to these Terms in their entirety. If you disagree, you must cease use immediately.
1. Zero-Knowledge Architecture & Acceptance
Our Service utilizes a strictly User-Owned Processing Architecture designed to maximize privacy and user control. By using SpooksLab, you acknowledge that all sensitive data processing occurs inside your own approved cloud environment. SpooksLab's infrastructure never sees, stores, or transmits your sensitive data.
2. License Grant & Intellectual Property
SpooksLab grants you a limited, personal, non-exclusive, non-transferable, and non-sublicensable license to use its products solely for your personal or professional workflows.
- Ownership: All SpooksLab products—including code, design, branding, UI/UX, documentation, assets, and internal systems—are the exclusive intellectual property of SpooksLab.
- Reservation of Rights: No ownership rights are transferred to you. All rights not expressly granted in these Terms are reserved by SpooksLab.
3. Strict Prohibitions
All SpooksLab products are closed-source and strictly protected. You agree that you will not engage in any of the following activities:
- No Redistribution: You may not share, upload, publish, or distribute any SpooksLab product, provide copies or access to others, or share your login credentials.
- No Monetization: You may not sell, rent, lease, license, or sublicense any SpooksLab product, charge others for access, or generate revenue directly from the software itself without explicitly approved, notarized documentation from SpooksLab.
- No Access to Code: You may not access, view, extract, reverse-engineer, decompile, disassemble, or attempt to obtain the source code. You may not modify the code, create derivative works, or bypass security and licensing systems. Any attempt to inspect internal logic or manipulate the codebase is strictly forbidden and subject to legal action.
4. User-Owned Infrastructure & Billing
To use our core automation features, you must deploy a processing component into your own cloud environment.
- Cloud Costs: All compute, storage, and API usage generated by the processing component is billed directly to your personal cloud project. SpooksLab is not responsible for any fees incurred from your cloud provider (e.g., Google Cloud, AWS).
- SpooksLab Subscriptions: Fees for accessing the SpooksLab software interface are processed independently via our trusted third-party processor, Stripe.
5. Third-Party Integrations
- Stripe: We utilize Stripe for secure payment processing. By subscribing, you agree to Stripe's Terms of Service.
- base44sdk: We utilize base44sdk to facilitate the connection between our frontend UI and your cloud environment.
6. Security & OAuth Verification
You are solely responsible for securing your cloud environment and keeping your login credentials confidential. You grant permissions directly to a service account inside your own cloud project, not to SpooksLab's backend. While SpooksLab provides the deployment code, you control the retention, security, and visibility of all logs and metrics within your own environment.
7. Disclaimer of Warranties
All SpooksLab products are provided "as is" and "as available," without warranties of any kind, either express or implied. SpooksLab disclaims all warranties, including but not limited to fitness for a particular purpose, reliability, uptime, accuracy, error-free performance, or compatibility with your specific systems. You assume all risks related to using SpooksLab products.
8. Limitation of Liability & Comprehensive Legal Waiver
To the fullest extent permitted by law, SpooksLab, its founder, contractors, and affiliates shall not be liable for any damages resulting from your use of its products. By using any SpooksLab product, you explicitly waive your right to hold SpooksLab liable for, or bring legal claims against SpooksLab regarding:
9. Termination
You maintain full ownership of your cloud environment and can terminate SpooksLab's connection at any time by deleting the processing component or revoking the OAuth scopes. SpooksLab reserves the right to suspend or terminate your frontend account and software access at any time, without notice, for violations of these Terms—specifically including any attempts to redistribute, monetize, or reverse-engineer the product. Upon termination, you must immediately cease use of all SpooksLab products and delete all local copies.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict-of-law principles.
11. Updates to Terms
SpooksLab may revise these Terms at any time. We will update the "Effective Date" at the top of this document when changes occur. Continued use of any SpooksLab product signifies your acceptance of the updated Terms.
